Terms of Use

1. General Terms

Subtile (the "Service") is a Twitch clip aggregator and editing tool operated by YUKARI LABS SRL, a company registered in Belgium under enterprise/VAT number BE1033402366, with its registered office at Cantersteen 47, 1000 Brussels, Belgium. By accessing or using the Service you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility and Age

You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.

3. Your Account

You can sign in with Twitch, with Google, or with an email address and password. Connecting Twitch — at sign-in or later — authorizes the Service to access the Twitch API on your behalf for the purposes described in the Privacy Policy; you may revoke that access at any time from Twitch's Connections settings, and features that need Twitch stop working when you do. You are responsible for activity under your account and for keeping your credentials secure. Subtile is an independent tool and is not endorsed by, affiliated with, or operated by Twitch or Amazon.

Accounts moved from Subtile. Subtile AI is operated by YUKARI LABS SRL. If you had an account on the previous Subtile platform, your account and your projects, captions, subtitle presets and files have been moved into the Service, as described in section 2.7 of the Privacy Policy. From your first sign-in, your use of the Service is governed by these Terms, and you keep ownership of that content as set out in section 7. If you do not want to continue, you can close the account from Settings or ask us to delete it by emailing contact@subtile.ai.

4. Acceptable Use

When using the Service you agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual-property or other rights of others
• Upload, process, store or distribute any content that you do not own or do not have the necessary rights, licenses and permissions to use, or that is illegal, infringing, defamatory, or otherwise unlawful
• Circumvent security measures, rate limits, or access controls
• Distribute malware or conduct malicious activity
• Use automated means or scraping beyond what the Service provides and what Twitch permits
• Reverse engineer, decompile or disassemble the Service, or resell or redistribute the Service itself

5. Twitch Content and Third-Party Intellectual Property

Clips, videos-on-demand, broadcasts, names, logos and other materials originating on Twitch ("Twitch Content") are owned by Twitch and/or the respective streamers, creators and rights-holders. Subtile provides tooling to discover, download, edit and export clips, but grants you no ownership of or license to any Twitch Content. You are solely responsible for ensuring that your use of any clip — including downloading, editing, reposting or monetizing it — complies with the Twitch Terms of Service, the Twitch Developer Agreement, the rights of the relevant streamers and rights-holders, and all applicable copyright and other laws. You are responsible for obtaining any permissions you need. YUKARI LABS SRL is not responsible for how you use Twitch Content and will respond to valid copyright / DMCA and takedown notices.

6. Compliance with Twitch

Your use of the Service must at all times comply with Twitch's Terms of Service, Community Guidelines and developer policies. We may suspend or limit your access to comply with Twitch's requirements, to respond to a request from Twitch or a rights-holder, or if your Twitch authorization is revoked or expires. The Service depends on the Twitch API, which Twitch may change, restrict or discontinue at any time; this may affect or interrupt features without notice.

7. Your Content

"Your Content" means the boards, edits, settings, uploads and rendered outputs you create or upload with the Service. You retain ownership of Your Content, subject to the third-party rights in any Twitch Content it incorporates. You are solely responsible for Your Content, and you represent and warrant that:

• You own or have all rights, licenses and permissions necessary to upload, process and use it with the Service
• It does not infringe or violate any third-party rights
• It is not illegal, defamatory, obscene, or otherwise unlawful, and complies with these Terms and applicable law

You grant YUKARI LABS SRL a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, adapt, publish, perform and display Your Content (i) to operate, provide and improve the Service, and (ii) to promote and market Subtile and other YUKARI LABS products — for example, by featuring clips, edits or other creations made with the Service on our website, in demos, social media, app-store listings, or advertising. Where reasonably practicable we will anonymize or attribute such use, and you may ask us to stop featuring a specific creation by emailing contact@subtile.ai.

8. Communications and Marketing

YUKARI LABS SRL operates a portfolio of products for creators. By using the Service you agree that we may contact you about Subtile and about other YUKARI LABS products and features that may be relevant to you (for example, ManyLinks). We will always include a way to opt out of non-essential marketing communications, and you can opt out at any time via the unsubscribe link or by emailing contact@subtile.ai. We will still send essential Service and account notices.

9. Service Providers

The Service relies on third-party providers: Convex, Vercel, Cloudflare, Twitch, Resend, Deepgram, OpenRouter, Google, Anthropic, OpenAI, Apify, Remotion, Modal. Each is described, with a link to its privacy policy, in section 7 of the Privacy Policy. By using the Service you acknowledge that your use is also subject to the applicable terms and privacy policies of these providers.

10. Intellectual Property

The Service, including its software, design, and underlying architecture (excluding Twitch Content and Your Content), is owned by YUKARI LABS SRL and protected by intellectual-property laws. You may not copy, modify, distribute, sell, lease, or reverse engineer, decompile or disassemble any part of the Service, except to the extent such restriction is prohibited by law.

11. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Beta and Phased Features

Parts of the Service, including the editing and rendering pipeline, are under active development and are provided on an "as is", evolving basis. Features may change, be limited, or be removed, and may behave unexpectedly. We may impose usage or rate limits to keep the Service available for everyone.

13. Termination and Suspension

We may suspend or terminate your access at our discretion, without notice, for conduct that violates these Terms, harms other users or the Service, or to comply with Twitch or the law. You may stop using the Service and delete your account at any time. Provisions that by their nature should survive termination (including intellectual property, the content license, disclaimers, limitation of liability, indemnification and governing law) survive.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, or that clip downloads, transcription, reframing or rendering will succeed for any given clip, including where Twitch changes or restricts its platform or APIs.

15. Limitation of Liability

To the maximum extent permitted by law, YUKARI LABS SRL shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or your data
• Any interruption or cessation of the Service
• Any bugs, viruses or harmful code transmitted through the Service
• Your use of any Twitch Content obtained through the Service

16. Indemnification

You agree to indemnify and hold harmless YUKARI LABS SRL, its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including legal fees) arising out of your use of the Service, Your Content, your use of any Twitch Content, or your violation of these Terms or applicable law.

17. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms here and revise the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of Belgium, without regard to conflict-of-law rules. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

19. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or struck and the remaining provisions will remain in full force and effect.
